Welcome to Phraselab.io! These Terms of Service ("Terms") govern your access to and use of the Phraselab.io website, services, and any related applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Service.

  • "Phraselab.io" means the Phraselab.io website, services, and any related applications, as owned and operated by Phraselab.io.
  • "Service" means the Phraselab.io website, services, and any related applications, as described in these Terms.

  • "Content" means any information, data, text, images, videos, audio, or other materials uploaded, submitted, or otherwise made available through the Service.

2. Use of the Service

2a. Social integrations and data collection

YouTube integration

If you are a Phraselab Customer and choose to use the YouTube integration with your Phraselab, you are subject to the YouTube Terms of Service (available at https://www.youtube.com/t/terms) and the Google Privacy Policy (available at http://www.google.com/policies/privacy). You will be asked to give us access to information from your YouTube account and have the option to link your accounts. By using the YouTube integration with Phraselab you grant the Phraselab access to information associated with your YouTube account using the YouTube API. Phraselab will scan the content of your YouTube to identify content you have elected to track in order to provide you with features in Phraselab. Phraselab will store information from your YouTube account. You understand that the information from your YouTube Account you track in Phraselab may be visible to other Users within your Phraselab Account.

In addition to the typical data deletion functionality supported in Phraselab, Customers may have the option to revoke the YouTube integration from your Phraselab account, in the Google security settings page at https://security.google.com/settings/security/permissions

3. Content

You are solely responsible for all Content you upload, submit, or otherwise make available through the Service. You represent and warrant that you own all rights to the Content or have obtained all necessary permissions and licenses to use the Content in connection with the Service.

You grant Phraselab.io a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display the Content in connection with the Service.

You are responsible for ensuring that your Content complies with all applicable laws and regulations. Phraselab.io reserves the right to remove any Content that it deems inappropriate, illegal, or in violation of these Terms.

4. Intellectual Property

The Service and all related content, including but not limited to text, graphics, logos, images, audio, and software, are the property of Phraselab.io or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, modify, adapt, publish, translate, distribute, perform, or display any of the Service's content without Phraselab.io's prior written consent.

5. Termination

Phraselab.io may terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms.
  • Failure to pay any fees or charges associated with the Service.
  • Suspected fraudulent or illegal activity.
  • Discontinuation of the Service.

Upon termination, your right to access and use the Service will immediately cease.

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Phraselab.io does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is free of errors or other harmful components.

You acknowledge and agree that your use of the Service is at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, Phraselab.io shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Service, including but not limited to:

  • Loss of data or profits.
  • Business interruption.
  • Personal injury or property damage.
  • Claims of third parties.

8. Indemnification

You agree to indemnify and hold harmless Phraselab.io, its officers, directors, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, costs, and expenses (including attorney's fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

10. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in Sunnyvale. The decision of the arbitrator shall be final and binding on the parties.

11. Entire Agreement

These Terms constitute the entire agreement between you and Phraselab.io regarding your use of the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

12. Amendments

Phraselab.io may amend these Terms at any time by posting the amended Terms on the Service. Your continued use of the Service after the posting of the amended Terms constitutes your acceptance of the amended Terms.
